Roles and Responsibility

当社ガバナンスグループの法務マネージャーとして、会社全体の法務・ガバナンス業務を統括していただきます。

また、当社はグループ会社とのシナジーを最大限活用するため、積極的な情報交換や業務支援を行っています。本ポジションにおいても、グループ会社の法務業務やガバナンス体制の構築・運用に関する支援にも携わっていただくことを想定しています。

【お任せしたいこと】

以下の業務について、自ら実行、またはマネジメントを行います。

・契約書レビューおよびドラフト、契約審査・契約書管理

・既存/新規事業における事業スキームの検討、規約等の作成

・各種法務相談への対応

・事業運営上の法的リスクの分析、対応策の検討

・知的財産管理(主に職務発明の管理、特許・商標出願対応)

・個人情報関連業務

・ナレッジマネジメント(社内ガイドライン・マニュアル等の作成・周知、業務フローのDX化等)

・社内向けコンプライアンス研修等の企画・実施

・コンプライアンス委員会の運営・管理、リスク管理

・株主総会運営業務、株式管理

・行政当局への各種届出

・取締役会、監査等委員会、指名報酬委員会の運営・管理

・ガバナンス関連の開示資料作成

・内部統制(J-sox)、内部監査業務

・グループガバナンス体制の構築、運用

・メンバーマネジメント

• English hereJob Opening at Legal Manager, Governance Group We are seeking a Legal Manager to oversee all legal and governance activities within the Governance Group at the company. Additionally, to maximize synergy with our group companies, we actively exchange information and provide support. In this position, we anticipate your involvement in supporting legal and governance activities and assisting in the establishment and operation of governance structures within group companies. Responsibilities: You will execute or manage the following tasks:
  • Review, drafting, examination, and management of contracts
  • Examination of business schemes for existing/new businesses, and creation of regulations, etc.

Minimum Requirements

Conditions / Benefits

Employment type: Full time

Location: Shiba, Minato-ku, Tokyo

Annual Salary: 7,000, ,000,000 JPY

• Based on experience, ability, and previous work experience
• Bonus paid twice a year (August, February)
• A fixed overtime allowance equivalent to 20 hours is provided, regardless of the presence of overtime work.
  • Additional overtime pay is provided for hours worked beyond the initial 20 hours.

Hours:

(In the case of discretionary labor system) No fixed working hours (presumed working hours: 9 hours)(In the case of flextime system) 10:00 - 19:00 (prescribed working hours: 8 hours)

• Break time: 60 minutes
• Telecommuting and flexible work arrangements are available, subject to prior approval.
• Annual Holidays: Regular days off every week (Saturdays and Sundays), national holidays, and other days designated by the company.
• Paid Time Off: 10 days granted after 6 months of continuous service (increasing with years of service, up to a maximum of 23 days).
• Other Leaves: Special leave upon joining, year-end and New Year leave, special leave for illness, and bereavement leave are available.
